Agreement to Terms<\/h2>\n<p>These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of an entity (&#8220;you&#8221;), and the Loudoun Coalition on Women and Girls (&#8220;LCWAG,&#8221; &#8220;we,&#8221; &#8220;us,&#8221; or &#8220;our&#8221;), concerning your access to and use of the https:\/\/www.lcwag.org website and any related media forms, media channels, or mobile website connected thereto (collectively, the &#8220;Site&#8221;).<\/p>\n<p>By accessing the Site, you confirm that you have read, understood, and agreed to be bound by all of these Terms of Use and our Privacy Policy (https:\/\/www.lcwag.org\/privacy-policy\/). IF YOU DO NOT AGREE WITH THESE TERMS, YOU ARE PROHIBITED FROM USING THE SITE AND MUST DISCONTINUE USE IMMEDIATELY.<\/p>\n<p>Supplemental terms or documents posted on the Site from time to time are incorporated into these Terms by reference. We reserve the right to modify these Terms at any time. We will update the &#8220;Last Updated&#8221; date when we do. For material changes affecting your legal rights, including dispute resolution procedures, we will seek your affirmative acknowledgment before those changes take effect. All text, photographs, graphics, video, audio, logos, and other content on the Site (collectively, the &#8220;Content&#8221;), and all trademarks, service marks, and logos (the &#8220;Marks&#8221;), are owned by or licensed to LCWAG and are protected by copyright, trademark, and other intellectual property laws of the United States and international conventions.<\/p>\n<p>The Content and Marks are provided on the Site for your personal, non-commercial use only. You may not copy, reproduce, republish, upload, publicly display, encode, translate, distribute, sell, or otherwise exploit any part of the Site, Content, or Marks for any commercial purpose without LCWAG&#8217;s express prior written permission.<\/p>\n<p>Provided you are eligible to use the Site, you are granted a limited, non-exclusive, non-transferable license to access and use the Site and download or print a copy of Content you have properly accessed, solely for personal, non-commercial informational purposes. You will not use the Site for any illegal or unauthorized purpose.<br \/>\n6. Your use of the Site will not violate any applicable law or regulation.<\/p>\n<p>If you provide information that is untrue, inaccurate, or incomplete, we reserve the right to refuse your submission and restrict your access to the Site.<\/p>\n<p>&nbsp;<\/p>\n<h2>4. Prohibited Activities<\/h2>\n<p>You may not access or use the Site for any purpose other than that for which we make it available. As a user of the Site, you agree not to:<br \/>\n1. Systematically retrieve data or content from the Site to create or compile, directly or indirectly, a collection, database, or directory without our written permission.<br \/>\n2. Make any unauthorized use of the Site, including collecting email addresses by electronic or other means for the purpose of sending unsolicited communications.<br \/>\n3. Use the Site to advertise or offer to sell goods or services without our written authorization.<br \/>\n4. Circumvent, disable, or interfere with security-related features of the Site.<br \/>\n5. Make improper use of our contact or support channels, or submit false reports of abuse or misconduct.<br \/>\n8. Engage in any automated use of the Site, including using scripts, data mining tools, robots, or scrapers, except as expressly permitted by us in writing.<br \/>\n9. Interfere with, disrupt, or create an undue burden on the Site or the networks connected to it.<br \/>\n10. Attempt to impersonate another user or person, or use the identity of another person.<br \/>\n11. Use any information obtained from the Site to harass, abuse, or harm another person.<br \/>\n12. Use the Site or its Content for any revenue-generating or commercial enterprise without our authorization.<br \/>\n13. Decipher, decompile, disassemble, or reverse engineer any software comprising or making up a part of the Site.<br \/>\n14. Attempt to bypass any measures designed to prevent or restrict access to the Site.<br \/>\n15. Harass, annoy, intimidate, or threaten any LCWAG staff, volunteers, or agents.<br \/>\n16. Delete or alter any copyright or proprietary notice from any Content.<br \/>\n17. Upload or transmit viruses, malware, or any material that interferes with any user&#8217;s enjoyment of the Site.<br \/>\n18. Upload or transmit tracking mechanisms (such as web bugs or pixels) except as expressly disclosed in our Privacy Policy.<br \/>\n19. Use the Site in a manner inconsistent with any applicable law or regulation.<br \/>\n20. Attempt to scrape, extract, or collect data from the Site for the purpose of training artificial intelligence or machine learning models without our express prior written permission. LCWAG uses technical measures, including robots.txt directives and rate limiting, to enforce this prohibition; violation of this provision may result in immediate termination of access, injunctive relief, and claims for damages to the fullest extent permitted by law.<br \/>\n21. Misrepresent your affiliation with LCWAG or use the Site in a way that could damage LCWAG&#8217;s reputation or mission.<\/p>\n<p>&nbsp;<\/p>\n<h2>5. Submissions and Feedback<\/h2>\n<p>You may submit questions, comments, suggestions, survey responses, or other information to us through our Site (collectively, &#8220;Submissions&#8221;). By submitting any Submission, you grant LCWAG a non-exclusive, royalty-free license to use, reproduce, publish, and distribute your Submission solely for LCWAG&#8217;s nonprofit organizational purposes, including program improvement, research, and public communications. We will not materially alter the substance of your Submission without your consent. This license terminates upon your valid request for deletion of personal information under our Privacy Policy, to the extent technically feasible.<\/p>\n<p>You retain ownership of your Submissions. However, you acknowledge that we are under no obligation to treat any Submission as confidential, and we may use Submissions without acknowledgment or compensation to you, to the extent permitted by applicable law.<\/p>\n<p>You represent and warrant that you own or have the right to submit any Submission, and that your Submission does not infringe the intellectual property or other rights of any third party. LCWAG shall have no liability to you for any alleged or actual infringement of proprietary rights in your Submissions.<\/p>\n<p>&nbsp;<\/p>\n<h2>6. Site Management<\/h2>\n<p><strong>We reserve the right, but not the obligation, to:<\/strong><\/p>\n<p>\u2022 Monitor the Site for violations of these Terms of Use.<br \/>\n\u2022 Take appropriate action against anyone who, in our sole discretion, violates applicable law or these Terms, including reporting such conduct to law enforcement.<br \/>\n\u2022 Restrict access to, limit the availability of, or disable any content or functionality of the Site.<br \/>\n\u2022 Remove from the Site or disable any files or content that are excessive in size or burdensome to our systems.<br \/>\n\u2022 Otherwise manage the Site to protect our rights and property and to facilitate its proper functioning.<\/p>\n<p>&nbsp;<\/p>\n<h2>7. Privacy Policy<\/h2>\n<p>We care about data privacy and security. Please review our Privacy Policy at https:\/\/www.lcwag.org\/privacy-policy\/, which is incorporated into these Terms by reference. By using the Site, you agree to be bound by our Privacy Policy.<\/p>\n<p>Our Site is hosted in the United States. If you access the Site from outside the United States, please be aware that your personal data will be transferred to and processed in the United States, which may have different data protection laws than your country of residence.<\/p>\n<p>We do not knowingly collect personal data from children under the age of 13 without parental or guardian consent. See Section 8 for details on how we handle data in connection with our youth programs.<\/p>\n<p>&nbsp;<\/p>\n<h2>8. Children and Youth Programs<\/h2>\n<p>LCWAG operates programs that include youth participants, including the Girl emPower program. The following terms apply to youth participation:<\/p>\n<p>\u2022 The general Site (including contact forms, newsletter subscription, and event registration) is intended for users 18 years of age and older.<br \/>\n\u2022 For programs or activities involving participants under 18, a parent or legal guardian must provide consent and, where applicable, submit required information on the minor&#8217;s behalf.<br \/>\n\u2022 For participants under 13, information is collected only from a parent or legal guardian, consistent with the Children&#8217;s Online Privacy Protection Act (COPPA). Prior to collecting any personal information about a child under 13, LCWAG will provide a direct notice to the child&#8217;s parent or guardian describing what information will be collected, how it will be used, and how the parent may review or request deletion of the information. We will obtain verifiable parental consent before collecting such information.<br \/>\n\u2022 Parents and guardians may at any time withdraw consent for a minor&#8217;s participation and request deletion of the minor&#8217;s information by contacting us at coalitionchair@lcwag.org.<\/p>\n<p>For complete details on how we handle minors&#8217; personal information, see the Children&#8217;s Privacy section of our Privacy Policy at https:\/\/www.lcwag.org\/privacy-policy\/.<\/p>\n<p>&nbsp;<\/p>\n<h2>9. Term and Termination<\/h2>\n<p>THESE TERMS OF USE REMAIN IN FULL FORCE AND EFFECT WHILE YOU USE THE SITE. WITHOUT LIMITING ANY OTHER PROVISION OF THESE TERMS, WE RESERVE THE RIGHT TO, IN OUR SOLE DISCRETION AND WITHOUT NOTICE OR LIABILITY, DENY ACCESS TO AND USE OF THE SITE, INCLUDING BY BLOCKING CERTAIN IP ADDRESSES, TO ANY PERSON FOR ANY REASON, INCLUDING BREACH OF ANY REPRESENTATION, WARRANTY, OR COVENANT IN THESE TERMS OR ANY APPLICABLE LAW OR REGULATION.<\/p>\n<p>If we restrict or terminate your access to the Site for any reason, you are prohibited from attempting to re-access the Site under your name, a false name, or the name of any third party. We reserve the right to take appropriate legal action, including pursuing civil, criminal, and injunctive redress.<\/p>\n<p>&nbsp;<\/p>\n<h2>10. Modifications and Interruptions<\/h2>\n<p>We reserve the right to change, modify, or remove the contents of the Site at any time, for any reason, at our sole discretion, without notice. We have no obligation to update any information on our Site. We also reserve the right to modify or discontinue all or part of the Site without notice at any time.<\/p>\n<p>We will not be liable to you or any third party for any modification, suspension, or discontinuance of the Site. We cannot guarantee that the Site will be available at all times. Interruptions may occur due to hardware, software, or maintenance needs. Qualifying interruptions include circumstances beyond our reasonable control, as described in Section 22. You agree that LCWAG has no liability for any loss, damage, or inconvenience caused by your inability to access or use the Site.<\/p>\n<p>&nbsp;<\/p>\n<h2>11. Governing Law<\/h2>\n<p>These Terms of Use and your use of the Site are governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law principles.<\/p>\n<p>Nothing in this governing law provision is intended to, or shall, limit any statutory rights that users in specific states may have under applicable state law that cannot be waived by contract. California and Virginia residents may have additional rights under their respective state consumer protection and privacy laws, regardless of the choice of governing law. See Sections 20 and 21 for state-specific provisions.<\/p>\n<p>&nbsp;<\/p>\n<h2>12. Dispute Resolution<\/h2>\n<p><strong>Informal Negotiations<\/strong><br \/>\nTo expedite resolution and reduce costs, the parties agree to first attempt to resolve any dispute informally for at least thirty<br \/>\n(30) days before initiating any formal proceeding. Informal negotiations begin when one party provides written notice to the other describing the nature of the dispute.<\/p>\n<p><strong>Binding Arbitration<\/strong><br \/>\nIf informal negotiations do not resolve the dispute, it will be finally and exclusively resolved by binding arbitration. YOU UNDERSTAND THAT BY AGREEING TO ARBITRATION, YOU ARE WAIVING YOUR RIGHT TO A JURY TRIAL. The arbitration shall be conducted under the Consumer Arbitration Rules of the American Arbitration Association (&#8220;AAA&#8221;), available at www.adr.org, which shall govern all aspects of the proceeding, including fees and arbitrator compensation.<\/p>\n<p>The arbitration may be conducted in person, by document submission, by phone, or online. The arbitrator will issue a written decision, must follow applicable law, and any award may be challenged on that basis. Unless AAA rules or applicable law require otherwise, the arbitration will take place in Loudoun County, Virginia. This arbitration agreement does not apply to disputes arising from or relating to a minor&#8217;s participation in LCWAG youth programs; such disputes shall be resolved in accordance with applicable law and the courts identified in the Court Jurisdiction section below.<\/p>\n<p><strong>Exceptions to Arbitration<\/strong><br \/>\nThe following disputes are not subject to binding arbitration: (a) disputes seeking to enforce or protect intellectual property rights; (b) disputes related to theft, invasion of privacy, or unauthorized use; and (c) claims for injunctive relief.<\/p>\n<p><strong>Class Action Waiver<\/strong><br \/>\nAny arbitration shall be limited to the dispute between the parties individually. To the fullest extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right to arbitrate on a class-action basis; and (c) there is no right to bring a dispute as a representative action on behalf of the general public or other persons. Nothing in this Class Action Waiver is intended to waive any rights under the California Private Attorneys General Act (PAGA) or any other non-waivable statutory right under applicable law.<\/p>\n<p><strong>Court Jurisdiction<\/strong><br \/>\nIf a dispute proceeds in court rather than arbitration, it shall be commenced and prosecuted in the state or federal courts located in Loudoun County, Virginia, and the parties consent to personal jurisdiction in those courts and waive all objections based on lack of personal jurisdiction or inconvenient forum.<br \/>\nSeverability of Dispute Resolution Provisions: If any portion of this Dispute Resolution section is found to be unenforceable, that portion shall be severed and the remainder of this section shall continue in full force and effect, except that if the Class Action Waiver is found unenforceable in a context where class proceedings would otherwise be permitted, the arbitration agreement shall be null and void with respect to that proceeding.<\/p>\n<p>&nbsp;<\/p>\n<h2>13. Corrections<\/h2>\n<p>Information on our Site may contain typographical errors, inaccuracies, or omissions, including in descriptions of programs, events, dates, and other information. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information at any time, without prior notice.<\/p>\n<p>&nbsp;<\/p>\n<h2>14. Disclaimer<\/h2>\n<p>THE SITE IS PROVIDED ON AN AS-IS AND AS-AVAILABLE BASIS. YOU AGREE THAT YOUR USE OF THE SITE WILL BE AT YOUR SOLE RISK. TO THE FULLEST EXTENT PERMITTED BY LAW, LCWAG DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.<\/p>\n<p>LCWAG MAKES NO WARRANTIES OR REPRESENTATIONS ABOUT THE ACCURACY OR COMPLETENESS OF THE SITE&#8217;S CONTENT, OR THE CONTENT OF ANY WEBSITES LINKED TO THE SITE. Code \u00a7 8.01-220.1:2), and the federal Volunteer Protection Act of 1997 (42 U.S.C. \u00a7 14501 et seq.), to the fullest extent permitted by law.<\/p>\n<p>&nbsp;<\/p>\n<h2>16. Indemnification<\/h2>\n<p>You agree to defend, indemnify, and hold harmless LCWAG, including its officers, directors, volunteers, employees, and agents, from and against any third-party claims arising directly from your intentional misconduct, fraud, or willful violation of these Terms of Use, including your willful violation of the intellectual property or other rights of a third party. This indemnification obligation does not apply to minors participating in LCWAG youth programs, or to claims arising from ordinary use of the Site.<\/p>\n<p>We reserve the right, at your expense, to assume exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.<\/p>\n<p>&nbsp;<\/p>\n<h2>17.
